Terms of Service

1. Agreement

These Terms of Service ("Terms") are between you ("you", "Customer") and Marketmate Solutions Ltd ("we", "us"), a company registered in England and Wales with its registered office at 3 Lawrence Close, Basingstoke, RG24 9DP, United Kingdom. By using OmniLister you agree to these Terms.

2. The service

OmniLister is a software-as-a-service product that provides Product Information Management (PIM), AI-assisted data enhancement, and multichannel listing creation for online marketplaces. The service is accessed through a web application and APIs.

3. Beta status

OmniLister is currently in beta. Features may change, behaviour may vary, and we may introduce breaking changes with notice. Beta customers receive preferred pricing in exchange for accepting this risk and providing us with feedback.

4. Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately if you suspect unauthorised access. You must be 18 or older and authorised to bind any business you represent.

5. Your data

You retain all rights to the product data you upload, import, or create in OmniLister. You grant us a limited licence to process that data solely for the purpose of providing the service to you — including passing it to AI subprocessors for enrichment and listing generation, and to marketplace APIs for listing submission.

We do not use your catalogue data to train AI models or for any purpose other than delivering OmniLister functionality you've invoked.

6. Marketplace integrations

When you connect a marketplace account (Amazon, eBay, Temu, Shopify), you authorise us to act on your behalf within the scope of permissions you grant during the OAuth flow. You are responsible for complying with each marketplace's own policies and for the accuracy of listings submitted through OmniLister.

We are not responsible for marketplace policy changes, account suspensions, listing rejections, or any loss arising from a marketplace's actions.

Beta customers are offered pricing that will be communicated individually before any charges begin. Full pricing will be published on this site when OmniLister leaves beta. You will always be given at least 30 days' notice before any fee change takes effect.

Fees are exclusive of VAT. UK customers will be charged UK VAT at the applicable rate.

9. Availability

We aim to keep OmniLister available 99.5% of the time, measured monthly, excluding scheduled maintenance. Beta pricing does not include a service-level agreement; we will publish one when the product leaves beta.

10. Termination

You may close your account any time. We may suspend or terminate your account if you breach these Terms, fail to pay amounts due, or use the service in a way that endangers our infrastructure or other customers. On termination we will delete your data within 30 days, subject to any legal retention obligations.

11. Liability

OmniLister is provided "as is". To the maximum extent permitted by law, we exclude all implied warranties. Our total liability under these Terms is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim, or £100 — whichever is greater. We are not liable for indirect, consequential, or loss-of-profit damages. Nothing in these Terms limits liability that cannot be excluded by UK law.

These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
